VENDOR COMPLIANCE
Ethics and Integrity Principles for Thrixine’s Vendors
This Vendor Code of Conduct (“Vendor Code”) sets forth standards for Thrixine's vendors, as well as their employees, agents, and subcontractors (collectively “Vendors”) to ensure that we partner with vendors that follow ethical, sustainable and environmentally conscious business practices.
COMPLIANCE WITH THIS VENDOR CODE
All Vendors must adhere to this Vendor Code while conducting business with or on behalf of Thrixine. This Vendor Code should be viewed as the minimum standards that we expect from our Vendor community. Compliance with this Vendor Code is required in addition to any other agreement a Vendor may have with Thrixine, it is not intended to reduce, replace or limit any other contractual obligations that a Vendor may have with Thrixine or adherence to applicable laws.
Violation(s) of this Vendor Code: Any violation(s) of this Vendor Code may result in immediate termination of any contract between Vendor and Thrixine.
ANTI-BRIBERY AND ANTI-CORRUPTION, TRADE AND FAIR DEALING
All Thrixine's vendors must conduct their business activities with integrity and in full compliance with applicable laws and regulations in all locations where they operate when doing business with and/or on behalf of Thrixine.
Vendors never participate in bribes or kickbacks of any kind. Vendors must comply with all applicable anti-corruption and anti-money laundering laws. Vendors must also follow the laws governing lobbying, gifts, and payments to public officials, political campaign contribution laws, and other related regulations; Avoid giving the appearance of or engaging in actual conflicts of interests. Vendors or their representatives must not deal directly with any Thrixine employee whose spouse, domestic partner, or other family member or relative is employed by or holds a significant financial interest in the Vendor. Vendors must disclose any such relationship or other actual or potential conflict of interest to Thrixine for review as soon as the potential conflict becomes known.
Never attempt to improperly influence Thrixine business decisions. Vendors must never offer a bribe, kickback, bartering arrangement, change in terms outside of the contractual relationship, or other incentive to a Thrixine employee in order to obtain or retain Thrixine business or preferential treatment;
Create, retain, and dispose of business records honestly and accurately. Vendors must be honest, direct, and truthful in discussions with regulatory agency representatives and government officials, and act in accordance with all applicable legal and regulatory requirements. This includes all applicable export, re-export, and import laws and regulations. Vendors must conduct business in full compliance with antitrust and fair competition laws that govern the jurisdictions in which business is being conducted.
INCLUSION AND DIVERSITY
Thrixine strongly believes that successful organizations foster an inclusive culture where each employee’s beliefs, values and voice is respected. Thrixine believes that diversity should be celebrated and discrimination of any form will not be tolerated.
Vendors must:
Comply with practices relating to non-discrimination and diversity. Vendors must comply with all applicable laws relating to discrimination in hiring, employment practices, and harassment and retaliation. Operate workplaces that are free of discrimination. Vendors must operate workplaces that are free of discrimination, harassment, victimization, and any other abuse on any grounds including but not limited to age, disability, ethnic or social origin, gender, gender identity, nationality, race, sexual orientation, marital status, parental status, pregnancy, political convictions, religious beliefs, union affiliation, or veteran status.
LABOR AND HUMAN RIGHTS
Thrixine believes that all workers in its supply chain and throughout its overall operations deserve a fair and ethical workplace. We expect our Vendors to uphold the highest standards of human rights and to treat their workers with dignity and respect. In addition to the following, Vendors should also commit to only using raw materials sourced with these standards:
No Underage Labor. Employed workers must be at least 16 years of age or the legally required minimum age.
Voluntary Labor. Thrixine does not tolerate human trafficking. All labor must be voluntary. Vendors must ensure labor is not forced, bonded, prison, or indentured.
Working Hours; Compensation. Working hours, wages, and benefits must comply with all applicable laws.
Freedom of Associations. Vendors must respect the right of its workers to freely choose whether to bargain collectively, or join associations or trade unions, as permitted by local law.
Health and Safety. Vendors must provide a safe workplace that meets applicable health and safety laws.
ENVIRONMENTAL AND SUSTAINABILITY REGULATIONS AND PROTECTION
Thrixine recognizes its social responsibility to protect the environment and expects its Vendors to share its commitment by responding to challenges posed by climate change and by working toward sustainability and protecting the environment. As a part of this commitment, all Vendors must:
Comply with all applicable environmental laws. This includes regulations and requirements regarding hazardous materials, air emissions, waste, and wastewater discharges, including the manufacture, transportation, storage, disposal, and release to the environment of such materials.
Endeavor to reduce or eliminate waste. This includes taking steps to implement appropriate conservation measures in facilities, including water and energy conservation, through maintenance and production processes, and by recycling, re-using, or substituting materials.
Obtain, maintain, and keep current all required environmental permits and registrations.
If a Vendor identifies a potential ethics, integrity, or compliance concern involving or affecting Thrixine, it must engage its primary point of contact at Thrixine or contact Thrixine via email at info@thrixine.com as soon as possible. Vendors are expected to provide reasonable assistance in the investigation of any concern involving Thrixine or a Vendor. Thrixine forbids retaliation against any person reporting an ethics, integrity, or compliance concern in good faith.
